1. Agreement to these Terms

These Terms & Conditions (the "Terms") govern your access to and use of the website at mantix.trade (the "Site"), the Mantix application, and all related software and services (together, the "Service") provided by Mantix Group Ltd, a private company limited by shares incorporated in England and Wales under company number 17267871, with its registered office at 50 Princes Street, Ipswich, IP1 1RJ, United Kingdom ("Mantix", "we", "us", "our").

By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy and Data Deletion Policy, which are incorporated by reference. If you do not agree, you must not use the Service.

2. Definitions

  • "Account" — the account you create to access the Service.
  • "Exchange" — a third-party cryptocurrency exchange you connect to the Service (for example, Binance, Bybit, OKX, Kraken, Coinbase, KuCoin, or Bitget).
  • "API Credentials" — the API key and secret you generate in your Exchange account and provide to the Service.
  • "Strategy" — a rule-based, pre-defined set of trading logic that you select and configure within the Service.
  • "Subscription" — a paid plan that gives you access to specified features of the Service.
  • "You" — the individual using the Service.

3. Eligibility

To use the Service, you must:

  • be at least 18 years old and have full legal capacity to enter into a binding contract;
  • not be located in, or a resident or national of, any jurisdiction where use of the Service is prohibited, and not be a person subject to applicable sanctions or restrictions, including those of the United States, the European Union, the United Nations, or other relevant authorities; and
  • comply with all laws that apply to you, including the laws of your country of residence.

The Service is not offered to, and may not be used by, persons who are located in, resident in, or nationals of the United States or the United Kingdom.

The Service is not offered in any jurisdiction where its use would be unlawful, or to any person subject to applicable sanctions. We may update the list of restricted jurisdictions from time to time, and we may refuse, suspend, or terminate access where these conditions are not met.

4. What the Service is — and what it is not

4.1 Mantix is software. The Service is a software tool that lets you connect your own Exchange account and run automated, rule-based trading Strategies according to parameters that you select and configure. The logic is deterministic: the Service executes the rules of the Strategy you have chosen. You retain control over which Strategy runs, on which Exchange, and you can pause or stop it at any time.

4.2 You make the decisions. When you select and configure a Strategy, you are making your own trading decisions. Mantix does not exercise discretion over your assets and does not decide on your behalf whether, when, or how much to invest beyond executing the rules you have enabled.

4.3 What Mantix does not do. Mantix does not:

  • provide investment, financial, legal, tax, or accounting advice, or any personal recommendation;
  • manage your assets on a discretionary basis or act as a portfolio or investment manager;
  • act as a broker, dealer, exchange, custodian, money transmitter, or crypto-asset service provider;
  • hold, control, receive, or have the ability to withdraw your funds; or
  • guarantee any result, profit, or return.

4.4 Non-custodial. Your funds remain in your own Exchange account at all times. The Service operates only through API Credentials that you create without withdrawal permission. Mantix can place and cancel orders on your behalf but physically cannot move funds out of your account.

4.5 No relationship of advice or agency. Nothing in the Service or these Terms creates a fiduciary, advisory, brokerage, or agency relationship between you and Mantix.

5. Your Account

You are responsible for providing accurate registration information, for keeping your login credentials confidential, and for all activity that occurs under your Account. You must notify us promptly at support@mantix.trade if you suspect any unauthorized use. We may suspend or close Accounts that contain false information or that are used in breach of these Terms.

6. Connecting Exchanges and API Credentials

6.1 To use trading features, you connect a supported Exchange by providing API Credentials.

6.2 You agree to generate API Credentials without withdrawal permission and, where available, to restrict them to our published IP addresses.

6.3 You are responsible for your relationship with your Exchange, including complying with the Exchange's own terms, maintaining sufficient balance, and meeting any verification or eligibility requirements the Exchange imposes.

6.4 You can disconnect an Exchange at any time. After disconnecting, you should also delete or disable the relevant API Credentials within your Exchange account.

7. Subscriptions, fees, and billing

7.1 Plans. The Service is offered on paid Subscription plans, billed monthly or annually as shown at checkout. Features and limits differ by plan.

7.2 Payment. Payments are processed by one or more third-party payment processors. By subscribing, you authorize us and our processor to charge your chosen payment method for the applicable fees.

7.3 Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. We will charge your payment method on each renewal.

7.4 Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, and VAT or sales tax may be added at checkout depending on your location.

7.5 Price changes. We may change our prices. We will give you advance notice of any change that affects your Subscription, and the new price will apply from your next renewal.

7.6 Promotions and discounts. We may offer discounts and time-limited promotions (for example, a first-year discount with a fixed expiry). Promotional terms, including any deadline, apply as stated at the time of the offer. Any countdown or deadline we present is genuine and is not reset for individual users.

8. Cancellation and refunds

8.1 You can cancel your Subscription at any time from within the Service. Cancellation stops future renewals; it does not refund the current billing period unless required by law.

8.2 When you cancel, your access continues until the end of the period you have already paid for, after which the paid features are deactivated.

8.3 Except where required by applicable consumer-protection law, fees already paid are non-refundable. Where you have a statutory right of withdrawal, we will honor it in accordance with the law.

9. Referral program

If you participate in our referral program, you may earn a referral payout (for example, 20% of the referred user's qualifying payment) subject to the program rules in effect at the time. We may change, suspend, or end the program, and we may withhold or reverse payouts obtained through fraud, abuse, self-referral, or breach of these Terms.

10. Risk disclosure

Please read this section carefully.

  • Trading crypto-assets is high-risk. Prices are volatile and can move sharply against you. You can lose some or all of the funds you allocate, and you should not use funds you cannot afford to lose.
  • No guarantee of returns. Any performance figures, targets, ranges, illustrations, or calculator outputs shown anywhere in the Service are illustrative only, are not promises, and do not guarantee any result. Actual results will vary and may be negative.
  • Past performance is not indicative of future results.
  • The Service does not remove risk. Risk limits and automated controls are designed to manage risk, not to eliminate it.
  • Your responsibility. You are solely responsible for your decision to use the Service, for the Strategies and parameters you select, and for the outcomes. You should seek independent professional advice if you are unsure.

11. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, including money laundering, sanctions evasion, fraud, or market manipulation;
  • access the Service through automated means not authorized by us, or attempt to interfere with, reverse engineer, or disrupt the Service;
  • circumvent security, usage limits, or geographic restrictions;
  • provide API Credentials with withdrawal permission, or share your Account with others; or
  • infringe the rights of Mantix or any third party.

We may suspend or terminate access for breach of this section.

12. Intellectual property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by Mantix or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our written permission.

13. Third-party services

The Service relies on and links to third parties, including Exchanges and our payment processor. We do not control these third parties and are not responsible for their acts, omissions, availability, fees, or terms. Your use of a third-party service is governed by that party's own terms.

14. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that the Service will be available at all times, that orders will always execute as intended, or that any particular financial outcome will be achieved. Nothing in these Terms excludes any liability that cannot lawfully be excluded.

15. Limitation of liability

To the maximum extent permitted by law, Mantix and its directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising out of or related to your use of the Service. To the extent we are found liable, our total aggregate liability will not exceed the greater of (a) the total fees you paid to us for the Service in the [12] months before the event giving rise to the claim, or (b) [EUR 100]. These limits do not apply to liability that cannot be limited under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Mantix and its personnel from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your trading decisions, your breach of these Terms, or your violation of any law or third-party right.

17. Suspension and termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if required by law, to protect the Service or other users, or if continuing to provide the Service to you would expose us to legal or regulatory risk. You may stop using the Service and delete your Account at any time. Sections that by their nature should survive termination (including Sections 10, 12, 14, 15, 16, and 19) will continue to apply.

18. Changes to the Service and to these Terms

We may modify, add, or discontinue features of the Service at any time. We may also update these Terms. We will post the updated Terms on the Site and revise the "Last updated" date, and we will give additional notice of material changes. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

19. Governing law and disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales will have exclusive jurisdiction over any dispute, subject to any mandatory rights you have as a consumer to bring proceedings in the courts of your country of residence. Consumers in the United Kingdom may seek information about their rights from Citizens Advice (citizensadvice.org.uk); consumers in the EU/EEA retain any mandatory rights available under their local consumer-protection laws.

20. General

  • Severability — if any provision is found unenforceable, the remaining provisions stay in effect.
  • No waiver — our failure to enforce any right is not a waiver of that right.
  • Assignment — you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • Entire agreement — these Terms, together with the Privacy Policy and Data Deletion Policy, constitute the entire agreement between you and Mantix regarding the Service.
  • Force majeure — we are not liable for failures or delays caused by events beyond our reasonable control.
  • Notices — we may give notices through the Service or by email to the address on your Account.
